These Terms of Service ("Terms") govern your access to and use of TPN (The Property Network) — the professional property network, co-broking platform, agency dashboard, lead-generation and CRM services, related applications and application programming interfaces, and the website at https://thaipropertiesnetwork.com (together, the "Services") — operated by [LEGAL ENTITY NAME — registered controller entity, to be confirmed] ("TPN", "we", "us", or "our").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization (an agency, developer or brokerage), you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Services.
These Terms incorporate our Privacy Policy by reference. The Privacy Policy governs personal-data handling; these Terms do not restate it.
3.1 Eligibility. The Services are for professional use by licensed real-estate agents and agencies in Thailand. You must be at least [18 — to be confirmed] years old and capable of forming a binding contract.
3.2 Registration. You must provide accurate, current and complete information and keep it up to date. You may register with email and password or via Google or Apple sign-in.
3.3 Account security. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at [PRIVACY CONTACT EMAIL] of any unauthorised use. We are not liable for losses arising from your failure to keep your credentials secure, subject to applicable mandatory law.
3.4 Agent / agency verification. Certain features require identity and professional verification, which may include submitting a selfie and an ID-card image and other information. You represent that all verification materials are genuine and belong to you. We may grant, withhold, suspend or revoke "verified" status and gated permissions based on verification outcomes. Personal data submitted for verification is handled under the Privacy Policy. To read your ID we use a third-party OCR processing partner; once a verification is reviewed we delete the document images and retain only the name and document number (encrypted) as a verification record.
3.5 Organizations, Staff and roles. Where you act within an Organization, the Organization controls Staff membership and role-based permissions. The Organization is responsible for its Staff's use of the Services and for managing their access.
4.1 TPN provides a professional MLS / co-broking network and related tools, including: Listing management; shared-inventory display across the co-broking network; agency dashboards and Staff management; search; enquiries and in-app messaging; lead generation and CRM, including distribution of consumer leads (including from the BaanMe marketplace) to eligible Agents on a region-scoped basis where the first responding Agent claims the lead; reviews and ratings; search subscriptions and alerts; and AI-assisted features (such as image classification, similar-listing search, deduplication and document pre-fill).
4.2 Co-broking and shared inventory. A central function of TPN is that Listings made available for Co-broking, and associated professional information, are visible to other Agents in the network so they can present a shared inventory to clients. Co-broking display does not transfer ownership of, or any proprietary right in, a Listing between Agents or Organizations; it is a permission to display and collaborate under the network's co-broking rules.
4.3 We may add, change, suspend or discontinue features at any time, as described in section 14.
You agree not to, and not to permit any third party to:
5.1 use the Services in violation of any law, regulation, real-estate licensing rule, or third-party right;
5.2 post false, misleading, fraudulent or unlawful Listings or Content, or misrepresent your authority to list a property, your licence status, or your relationship to a property or counterparty;
5.3 — Anti-scraping and no automated extraction — access, copy, harvest, index, scrape, crawl, "data-mine", or extract any Listings, Confidential Listing Data, network data, contact information, or other Content from the Services by any automated means (including bots, scrapers, spiders, headless browsers, or scripted requests); perform bulk download or systematic retrieval of data; aggregate, republish, resell or redistribute the network inventory; or build any database from the Services. Access is for legitimate, account-authorised professional use only, through the interfaces we provide and within any applicable rate limits;
5.4 circumvent, disable or interfere with any access control, authentication, rate limit, security feature, or technical restriction of the Services, or attempt to gain unauthorised access to any account, system or data (which may also violate the Thai Computer Crime Act B.E. 2550);
5.5 misuse Confidential Listing Data (see section 6.4), or use contact details, leads or client data obtained through the Services for any purpose other than the legitimate transaction or for unsolicited marketing in breach of applicable law;
5.6 upload malware, interfere with or place an unreasonable load on the Services, or probe or test their vulnerability without authorisation;
5.7 use the Services to harass, defame, or infringe others, or to submit Content that is unlawful, obscene, or discriminatory;
5.8 reverse-engineer, decompile or disassemble any part of the Services except to the extent that restriction is prohibited by applicable law; or
5.9 use the Services to train, develop or improve any competing product, model or dataset.
We may investigate and take action — including content removal, suspension, or termination — for suspected violations (section 13).
6.1 Your responsibility. You are solely responsible for the Content you submit, including Listings. You represent and warrant that you have the lawful right to list each property and to submit the Content, that it is accurate and not misleading, and that it does not infringe any third-party right or violate any law or licensing obligation.
6.2 Accuracy. You must keep Listings accurate and current, and promptly correct or remove inaccurate, expired or withdrawn Listings.
6.3 Licence to host and display across the network. You grant TPN a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt (e.g. resize/format images and generate derived data such as classifications and embeddings), publish, and display your Content across the Services and the co-broking network, and — where you participate via an Organization that operates a white-label Agent Website — on that tenant site, solely to operate and provide the Services. This licence lasts for as long as the Content is on the Services and for a reasonable period afterward for back-up and legal-compliance purposes; it does not transfer ownership of your Content.
6.4 Confidential Listing Data. Confidential Listing Data (owner identity/identifier, internal notes, source links, unit numbers) is confidential. You must treat any Confidential Listing Data you access through the Services as confidential, use it only for the legitimate co-broking transaction, and not disclose, copy, or repurpose it. Confidential fields are not part of the open co-broked display.
6.5 Takedown. We may remove or disable access to any Content that we reasonably believe violates these Terms, infringes a third party's rights, or is unlawful. If you believe Content infringes your rights, contact us at [PRIVACY CONTACT EMAIL] (or [LEGAL / NOTICE CONTACT — to be confirmed]).
7.1 The Services, including all software, design, text, graphics, and trademarks (excluding User Content), are owned by TPN or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal professional purposes in accordance with these Terms.
7.2 You retain ownership of your Content, subject to the licence in section 6.3. Aggregated, de-identified or derived data and analytics generated through operation of the Services are owned by TPN.
7.3 No rights are granted except as expressly stated. Our names, logos and brands may not be used without our prior written permission.
The Services integrate or link to third-party services (including payment processing, maps, sign-in providers, and messaging channels). Those services are governed by their own terms and privacy policies, and we are not responsible for them. Your use of a third-party service is at your own risk and may require you to accept that provider's terms.
9.1 Subscription plans. Organizations may use TPN under tiered plans — free, pro and agency — with differing features and limits. The features, limits and prices of each plan are as described at the point of purchase or in your order, and may be [updated per the pricing terms — to be confirmed].
9.2 Billing. Paid subscriptions are billed through [BILLING PROVIDER — to be confirmed]. By subscribing to a paid plan, you authorise the applicable charges and agree to the billing cycle, renewal and payment terms presented at purchase. Taxes may apply.
9.3 Renewals and cancellation. Unless stated otherwise at purchase, paid plans [renew automatically — to be confirmed] until cancelled. You may cancel as described in your account settings or order; cancellation takes effect per the terms presented at purchase.
9.4 Refunds. Refunds, if any, are governed by [REFUND TERMS — to be confirmed] and by your mandatory rights under Thai consumer-protection law.
10.1 The Services are provided "as is" and "as available", without warranties of any kind except those that cannot be excluded under applicable law.
10.2 We do not warrant the accuracy, completeness, legality or availability of any Listing or Content, the conduct, licensing, identity, or performance of any Agent, Organization, or User (including the outcome of verification), or the outcome of any property transaction, negotiation, enquiry, or lead. The Services connect professional users; they are not a party to, and do not guarantee, any transaction.
10.3 We do not warrant that the Services will be uninterrupted, secure, or error-free, or that AI-assisted outputs (classifications, similar-listing matches, deduplication, OCR/MRZ pre-fill) are accurate; you must review them before relying on them.
11.1 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the mandatory laws of Thailand, including the Consumer Protection Act, the Unfair Contract Terms Act B.E. 2540, and liability for fraud, wilful misconduct, or death or personal injury caused by negligence. The limitations in this section apply only to the maximum extent permitted by those laws and are intended to be fair and reasonable; a court may adjust an unfair term rather than void the clause entirely.
11.2 Subject to section 11.1, to the extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity; and (b) our total aggregate liability arising out of or relating to the Services in any 12-month period will not exceed the greater of (i) the fees you paid to us for the Services in that period, or (ii) [THB CAP AMOUNT — to be confirmed].
11.3 We are not liable for the acts or omissions of other Users, Agents, Organizations or third-party services.
To the extent permitted by applicable law, and subject to mandatory Thai consumer-protection and Unfair Contract Terms law, you agree to indemnify and hold harmless TPN and its officers, employees and agents from third-party claims, losses and reasonable expenses arising from: (a) your Content or Listings; (b) your breach of these Terms or of applicable law; (c) your misuse of Confidential Listing Data, leads or client data; or (d) your infringement of any third-party right. This indemnity is proportionate to your responsibility for the loss and does not apply to the extent a loss is caused by us.
13.1 By you. You may stop using the Services and close your account at any time. Account deletion and data erasure are handled as described in the Privacy Policy (soft-delete then hard-delete after a 30-day window). Exception: for verified agents, partners and developers we retain a minimal KYC verification record (your confirmed name and ID/passport number, encrypted) after deletion for fraud prevention and platform integrity; everything else is erased. BaanMe consumer accounts are fully erased.
13.2 By us. We may suspend or terminate your access, with or without notice as appropriate, if you breach these Terms (including the acceptable-use and anti-scraping provisions), fail or lose verification, create risk or legal exposure, or where required by law. Where reasonable and lawful, we will give notice and an opportunity to cure.
13.3 Effect. On termination, your licence to use the Services ends. Sections that by their nature should survive (including sections 6.4, 7, 10, 11, 12, 16 and 17) survive termination. Co-broked Content may continue to be retained or displayed to the extent necessary to operate the network and meet legal obligations, subject to the Privacy Policy.
We may modify the Services or these Terms. For material changes to these Terms, we will provide reasonable notice (for example by email or in-app notice) and state the new effective date. Your continued use after the change takes effect constitutes acceptance, to the extent permitted by law. If you do not agree, you must stop using the Services.
Our processing of personal data is governed by the Privacy Policy, which is incorporated by reference. Where you process the personal data of others through the Services (for example, client and lead contact data, or — if you operate a white-label Agent Website — your site visitors' data), you are the controller of that data and TPN acts as your processor, and the processing is governed by a separate Data Processing Agreement (PDPA s.40) between you and TPN. You are responsible for your own lawful basis, notices, and handling of data-subject requests for the data you control, supported by the tooling we provide.
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the Kingdom of Thailand, without regard to conflict-of-laws rules. Subject to section 17, the competent courts of Bangkok, Thailand have jurisdiction, without prejudice to any mandatory right you may have to bring proceedings in another competent forum under applicable consumer-protection law.
17.1 Good-faith resolution. Before commencing formal proceedings, the parties will attempt in good faith to resolve any dispute by negotiation, by contacting [PRIVACY CONTACT EMAIL] or [LEGAL / NOTICE CONTACT — to be confirmed].
17.2 Forum. If the dispute is not resolved, it will be submitted to the courts identified in section 16, or to [ARBITRATION / MEDIATION FORUM — to be confirmed, if elected]. Nothing in this section limits your mandatory statutory rights under Thai consumer-protection law.
18.1 Entire agreement. These Terms, the Privacy Policy, any applicable order or plan terms, and (where relevant) the Data Processing Agreement constitute the entire agreement between you and TPN regarding the Services and supersede prior agreements on the subject.
18.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
18.3 No waiver. Our failure to enforce a provision is not a waiver of it.
18.4 Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets, on notice to you.
18.5 Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control.
18.6 Notices. We may give notices by email, in-app notice, or posting on the website; you may give notice to us at the contact details in section 19.
18.7 Language. These Terms may be provided in more than one language; in the event of conflict, the [GOVERNING LANGUAGE — to be confirmed] version prevails to the extent permitted by law.
